Welcome to MapCosmos. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MapCosmos B.V., a private limited company registered in the Netherlands (KvK no. 98282131) with its registered office at Joop Geesinkweg 501, 1114 AB Amsterdam, the Netherlands ("MapCosmos," "we," "us," or "our").By creating an account, accessing, or using any part of the MapCosmos software-as-a-service platform, APIs, widgets, websites, or associated applications (collectively, the "Service"), or by clicking “I Agree,” you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.If you do not agree to these Terms, you must not create an account or use the Service. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and warrant that you have the authority to bind that organization to these Terms.

You must be at least 18 years old and have the legal capacity to enter into binding contracts. To access the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated. You are solely responsible for safeguarding your login credentials and for all activities that occur under your account. You must notify us immediately at contact@mapcosmos.com of any unauthorized use of your account.

a. Plans and Pricing: The Service is offered on various subscription plans as described on our pricing page ("Plans"). The features and quotas for each Plan are specified on our website. Prices are stated in Euros (€) and are exclusive of applicable taxes (such as VAT), unless indicated otherwise.
‍b. Billing Cycle: Plans are billed in advance on a monthly or annual basis, as selected during checkout.
‍c. Payment Method: You authorize us (and our third-party payment processor) to charge your selected payment method for all applicable subscription fees, taxes, and any other charges incurred. Failed payments may result in the suspension or termination of your account.
‍d. Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle for a term equal to the expiring term. You authorize us to charge your payment method for the renewal term at the then-current price
‍e. Cancellation: You may cancel your subscription at any time through your account dashboard. The cancellation will take effect at the end of your current billing period. Except as required by applicable law, subscription fees are non-refundable.

We offer a one-time seven (7) day free trial to new users for the evaluation of the Service. At the end of the trial period, your account will automatically be converted to the selected paid Plan, and your payment method will be charged unless you cancel your subscription before the trial period ends. The free trial is for evaluation purposes only and may not be used for production or public-facing applications. We reserve the right to modify or discontinue the trial offer at any time.

a. Our Ownership: The Service, including all underlying software, code, data, maps, designs, graphics, trademarks, logos, and other content provided by us ("MapCosmos Content"), is and will remain the exclusive property of MapCosmos and its licensors. The Service is protected by copyright, trademark, and other laws of the Netherlands and foreign countries.

License to You: Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes as intended through the provided functionality.
‍c. Restrictions: You may not (and will not allow any third party to): (i) copy, modify, create derivative works of, reverse engineer, decompile, or otherwise attempt to extract the source code of the Service; (ii) resell, sublicense, or distribute the Service; or (iii) remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on any part of the Service. All rights not expressly granted are reserved by MapCosmos.

"User Content" means any data, text, images, location information, store details, or other materials you submit, upload, or display via the Service. You retain all ownership rights to your User Content. You represent and warrant that you own or have the necessary rights and permissions to use and authorize the use of your User Content as described herein.You grant MapCosmos a worldwide, non-exclusive, royalty-free license to host, reproduce, display, and use your User Content solely for the purpose of operating, providing, and improving the Service. You are solely responsible for the accuracy, legality, and appropriateness of your User Content.

You agree not to use the Service to upload, post, or transmit any User Content or engage in any activity that:

The Service relies on third-party services, including mapping and data providers (e.g., Google Maps, OpenStreetMap, Mapbox). Your use of the Service is also subject to the terms and conditions of these third parties. We do not control and are not responsible for the availability, accuracy, or performance of these third-party services. We cannot guarantee the continuity of any feature that is dependent on a third-party service.

The service is provided “as is” and “as available” without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.Mapcosmos does not warrant that the service will be uninterrupted, secure, or error-free, or that any data or results obtained through the service will be accurate, complete, or reliable.

To the maximum extent permitted by applicable law, in no event shall mapcosmos, its affiliates, directors, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the service.Our total aggregate liability to you for all claims arising out of or relating to these terms or the service, whether in contract, tort, or otherwise, is limited to the total amount of fees you paid to mapcosmos in the six (6) months immediately preceding the event giving rise to the claim.

To the maximum extent permitted by law, MapCosmos shall not be liable for any indirect, incidental, consequential, special or punitive damages, or for any loss of profits, revenues, data or goodwill, arising out of or in connection with the Service or these Terms, even if advised of the possibility. Our total liability shall not exceed the amount you paid to MapCosmos in the 12 months preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless MapCosmos and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including any intellectual property or privacy right; or (iv) your User Content.

We may suspend or terminate your access to and use of the Service, at our sole discretion, immediately and without notice, if you breach these Terms or fail to pay applicable fees. Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the competent courts of Amsterdam, the Netherlands.

We reserve the right to modify these Terms at any time. If we make material changes, we will provide you with notice, such as by sending an email or by posting a notice through the Service. Your continued use of the Service after any such change constitutes your acceptance of the new Terms.

a. Entire Agreement: These Terms constitute the entire agreement between you and MapCosmos regarding the Service and supersede all prior agreements and understandings.
‍b. Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.
‍c. No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
‍d. Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
